These Terms and Conditions ("Terms") govern your access to and use of the Conscherry website, applications, accounts, features, communications, and related services available at https://conscherry.com (collectively, the "Service").
By accessing or using the Service, you agree to these Terms. If you do not agree, you must not use the Service.
1. Definitions
For purposes of these Terms:
- "Company," "Conscherry," "we," "us," and "our" mean Conscherry.
- "You" and "your" mean the individual or legal entity using the Service.
- "Account" means your registered user profile and credentials.
- "Content" means text, data, files, media, code, designs, submissions, and other materials.
- "User Content" means Content that you submit, upload, publish, or transmit through the Service.
2. Eligibility and Authority
You may use the Service only if:
- you are at least 13 years old (or the minimum age required by your local law), and
- you have legal capacity to enter into a binding agreement.
If you are using the Service on behalf of a company or organization, you represent and warrant that you are authorized to bind that entity to these Terms.
3. Accounts and Account Security
To use certain features, you may need to create an Account.
You agree to:
- provide accurate, complete, and current registration information,
- maintain the security and confidentiality of your credentials,
- maintain access to your recovery and verification methods needed for security-sensitive actions,
- notify us promptly at contact@conscherry.com of any unauthorized access or security incident,
- accept responsibility for activities that occur under your Account.
You may not:
- share credentials in a way that enables unauthorized use,
- sell, transfer, lease, or sublicense your Account,
- impersonate another person or misrepresent your identity.
We may suspend, restrict, or terminate Accounts to protect users, enforce these Terms, prevent abuse, or comply with legal obligations.
4. Acceptable Use
You must use the Service lawfully and responsibly.
You must not, and must not attempt to:
- violate any applicable law, regulation, or third-party right,
- infringe intellectual property, privacy, publicity, or contractual rights,
- access systems, Accounts, data, or networks without authorization,
- distribute malware, malicious code, or harmful content,
- interfere with availability, security, or integrity of the Service,
- perform scraping, automated extraction, or abusive automated access except where expressly authorized,
- engage in fraud, phishing, impersonation, harassment, abuse, or deceptive conduct,
- use the Service to transmit spam or unlawful promotional communications.
5. User Content and Licenses
5.1 Your rights in User Content
You retain ownership of your User Content.
5.2 License you grant to Conscherry
You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt, display, perform, distribute, and otherwise use your User Content only as necessary to:
- provide and operate the Service,
- secure and improve the Service,
- enforce these Terms and applicable policies,
- comply with legal obligations.
Where you share User Content publicly or with other users, you grant the permissions reasonably necessary for that sharing to function.
5.3 Your responsibilities
You represent and warrant that:
- you own or control all rights required for your User Content,
- your User Content and use of the Service do not violate these Terms, law, or third-party rights.
We may remove, block, or restrict User Content that violates these Terms, applicable law, or the rights or safety of others.
6. Intellectual Property
The Service, including software, design, branding, text, graphics, and other materials provided by Conscherry (excluding your User Content), is owned by Conscherry or its licensors and is protected by intellectual property laws.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for its intended purposes.
No rights are granted except as expressly stated in these Terms.
7. Third-Party Services and Links
The Service may include integrations, links, or references to third-party sites, products, or services.
We do not control and are not responsible for third-party services. Your use of third-party services is governed by their own terms and privacy policies.
8. Purchases, Paid Features, Billing, and Refunds
If paid features, subscriptions, or products are offered through the Service:
- you agree to provide accurate billing information,
- you authorize us (or our payment processors) to charge applicable fees, taxes, and renewal charges,
- recurring subscriptions renew automatically unless canceled before renewal,
- pricing may change with advance notice where required by law,
- refunds are provided only as required by law or as expressly stated in a specific offer.
Failure to pay may result in suspension or termination of paid access.
9. Privacy and Data Protection
Your use of the Service is also governed by our Privacy Policy, Cookie Policy, and other applicable privacy notices.
These documents explain how we collect, use, store, and disclose personal information.
10. Service Availability, Updates, and Changes
We may update, modify, suspend, or discontinue all or part of the Service at any time, including for maintenance, security, legal, or business reasons.
Where practicable and required by law, we will provide reasonable notice of material changes affecting your use.
11. Communications
You agree that we may send you service-related communications (including legal notices, security alerts, and account messages) electronically, including by email and in-product notices.
You can manage optional communication preferences where available, but you may not opt out of essential service, security, legal, or transactional notices.
12. Suspension and Termination
12.1 By you
You may stop using the Service at any time and may request Account deletion where available.
Certain deletion or export actions may require security verification steps (for example password and/or second-factor confirmation).
12.2 By us
We may suspend or terminate access immediately or with notice, depending on circumstances, including where:
- you breach these Terms,
- your use poses legal, operational, or security risk,
- required by law, court order, or government request,
- necessary to prevent harm to users, the Service, or third parties.
12.3 Effect of termination
Upon termination, your right to use the Service ends. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, indemnification, dispute terms, and general provisions.
Data handling after termination is governed by our privacy disclosures and retention schedule, including limited retention for legal, fraud-prevention, security, and backup recovery purposes.
13. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE ACCURATE OR RELIABLE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONSCHERRY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR
- USD $100.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
15. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Conscherry and its affiliates, officers, employees, contractors, licensors, and suppliers from and against claims, liabilities, damages, judgments, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- your use or misuse of the Service,
- your User Content,
- your violation of these Terms,
- your violation of law or third-party rights.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Colorado, United States, without regard to conflict-of-law rules, except where mandatory local law requires otherwise.
Before filing a formal claim, you and Conscherry agree to attempt good-faith informal resolution by contacting contact@conscherry.com.
If a dispute is not resolved informally, it will be brought in courts of competent jurisdiction in Colorado, unless mandatory law grants you the right to bring claims elsewhere.
17. Trade and Export Compliance
You represent and warrant that:
- you are not located in or ordinarily resident in a jurisdiction subject to comprehensive embargoes that prohibit your use of the Service,
- you are not on any applicable sanctions or denied-party list,
- you will not use the Service in violation of applicable export control or sanctions laws.
18. Changes to These Terms
We may update these Terms from time to time.
If we make material changes, we will provide reasonable notice (for example by email or in-product notice) before the changes become effective, where required by law.
Your continued use of the Service after the effective date of updated Terms constitutes acceptance of those updated Terms.
19. General Provisions
- Entire Agreement. These Terms, together with incorporated policies, form the entire agreement between you and Conscherry regarding the Service.
- Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in effect.
- Waiver. Failure to enforce any provision is not a waiver of future enforcement.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
- Interpretation. Section headings are for convenience and do not affect interpretation.
